1. Acceptance of Terms
Welcome to StatComm.
These Terms of Use ("Terms") govern access to and use of the StatComm platform, including the web application, mobile applications, websites, software, and related services (collectively, the "Service"), operated by StatComm, LLC ("StatComm," "we," "our," or "us").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Intended Users
The Service is intended solely for authorized healthcare personnel, emergency medical personnel, hospital staff, physicians, nurses, administrators, and other individuals expressly authorized by their organization.
You represent and warrant that:
- You are authorized by your organization to access the Service.
- You will use the Service only for legitimate healthcare operations.
- All information submitted by you is accurate and complete to the best of your knowledge.
3. Not a Medical Device
StatComm is a communications and coordination platform.
StatComm:
- Does not provide medical advice.
- Does not diagnose medical conditions.
- Does not recommend treatment.
- Does not replace professional medical judgment.
- Is not intended to function as a medical device.
Healthcare providers remain solely responsible for all clinical decisions, diagnoses, treatments, patient dispositions, and communications.
4. Emergency Situations
The Service is intended to facilitate communication between authorized users.
The Service is not guaranteed to be available at all times.
Users must maintain appropriate backup communication methods, including but not limited to:
- Telephone communications
- Radio systems
- Existing EMS communication procedures
- Hospital emergency communication systems
No user should rely exclusively on StatComm for emergency communications.
5. Account Security
Users are responsible for:
- Maintaining the confidentiality of login credentials.
- Restricting access to their devices.
- Promptly reporting suspected unauthorized access.
- Logging out of shared devices when appropriate.
Users may not:
- Share accounts.
- Allow unauthorized individuals to access the Service.
- Attempt to circumvent security controls.
6. HIPAA and Protected Health Information
Authorized users may enter Protected Health Information ("PHI") into the Service.
Users agree to:
- Comply with all applicable privacy laws.
- Comply with applicable HIPAA requirements.
- Access only information necessary to perform their duties.
- Refrain from unauthorized disclosure of patient information.
Organizations using StatComm remain responsible for determining whether a Business Associate Agreement ("BAA") is required and ensuring appropriate agreements are in place.
7. User Content
Users retain responsibility for information submitted through the Service, including:
- Patient reports
- Messages
- Images
- Audio recordings
- Documentation
- Attachments
You represent that you have all necessary rights and permissions to submit such information.
StatComm may store, transmit, process, and display such information solely for purposes of providing the Service.
8. Artificial Intelligence Features
Certain features may utilize artificial intelligence technologies to assist with data entry, transcription, summarization, or workflow automation.
AI-generated content:
- May contain inaccuracies.
- May omit information.
- Should be reviewed by qualified personnel before reliance.
Users remain solely responsible for verifying all information before clinical use.
StatComm disclaims liability arising from reliance on AI-generated outputs.
9. Acceptable Use
Users may not:
- Violate any law or regulation.
- Access information without authorization.
- Attempt to disrupt Service operations.
- Upload malicious code.
- Reverse engineer the Service.
- Interfere with other users.
- Use the Service for non-healthcare purposes.
10. Availability and Maintenance
StatComm does not guarantee uninterrupted availability.
The Service may be unavailable due to:
- Maintenance
- Upgrades
- Network failures
- Third-party service outages
- Force majeure events
StatComm reserves the right to modify, suspend, or discontinue portions of the Service at any time.
11. Third-Party Services
The Service may integrate with third-party providers, including providers of:
- Push notifications
- Cloud hosting
- Mapping services
- Authentication services
- Communication services
StatComm is not responsible for third-party services or outages affecting those services.
12. Intellectual Property
The Service, including software, logos, trademarks, designs, interfaces, and content created by StatComm, are the exclusive property of StatComm, LLC.
Users receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
No ownership rights are transferred.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available."
StatComm disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy
- Reliability
- Availability
StatComm does not warrant that the Service will be error-free or uninterrupted.
14. Limitation of Liability
To the maximum extent permitted by law, StatComm shall not be liable for:
- Indirect damages
- Incidental damages
- Consequential damages
- Loss of profits
- Loss of data
- Business interruption
- Clinical decisions made by users
In no event shall StatComm's total liability exceed the amount paid by the customer to StatComm during the twelve (12) months preceding the event giving rise to the claim.
15. Indemnification
Users and subscribing organizations agree to defend, indemnify, and hold harmless StatComm, LLC, its officers, employees, contractors, and affiliates from claims arising from:
- Misuse of the Service
- Violation of these Terms
- Unauthorized disclosure of information
- Clinical decisions made by users
16. Termination
StatComm may suspend or terminate access for:
- Violation of these Terms
- Security concerns
- Non-payment by a subscribing organization
- Misuse of the Service
Organizations may terminate subscriptions pursuant to their service agreement.
17. Governing Law
These Terms shall be governed by the laws of Alabama, without regard to conflict of law principles.
Any disputes shall be resolved in courts located in Tuscaloosa County, Alabama.
18. Changes to These Terms
StatComm may modify these Terms from time to time.
Updated Terms will be posted within the Service and become effective upon posting unless otherwise stated.
Continued use of the Service constitutes acceptance of revised Terms.
